Forge Recruitment is pleased to partner with a highly respected boutique business law firm in Toronto in its search for a Senior Corporate Law Clerk. This is an excellent opportunity for an experienced Corporate Law Clerk seeking a high level of responsibility and meaningful client exposure.
About the Role
As the Senior Corporate Law Clerk, you will play a key role in supporting a busy Partner and their corporate practice. You will be responsible for independently managing a wide range of corporate matters from inception through completion while working closely with lawyers, clients, tax advisors, and external stakeholders.
Your responsibilities will include:
- Preparing and filing incorporations, amendments, amalgamations, continuances, dissolutions, renewals, and other corporate transactions
- Preparing and filing extra-provincial registrations, business name registrations, PPSA registrations and discharges, Ontario Securities Commission filings, and other regulatory filings
- Conducting and analyzing corporate, PPSA, bankruptcy, litigation, and other searches at both the provincial and federal levels
- Reviewing minute books, identifying deficiencies in corporate records, and rectifying and reorganizing corporate records as required
- Managing annual corporate maintenance and corporate record updates
- Preparing and maintaining corporate records for private corporations
- Assisting with private placements and securities-related transactions
- Supporting share and asset purchase transactions, including the preparation of closing documentation and management of transaction closings
- Assisting with corporate reorganizations and tax-driven transactions in collaboration with legal and tax professionals
- Maintaining accurate corporate records and ensuring compliance with applicable regulatory requirements

What You Bring
- Minimum 10 years of Corporate Law Clerk experience within a law firm environment
- Law Clerk diploma or equivalent combination of education and experience
- Experience supporting private placements, share transactions, asset transactions, and corporate reorganizations
- Ability to independently manage transaction closings and prepare related closing documentation
- Experience with MinuteBox and Clio is considered a strong asset
