Low Murchison Radnoff LLP, an Ottawa law firm, is looking to add a Full-Time Corporate Law Clerk to its team.
Primary Duties Include
· Administrative and accounting duties including but not limited to preparing correspondence, follow-ups with clients and third parties, billing, scanning, photocopying, faxing, filing, and managing incoming correspondence/documents for counsel.
· Creating, organizing, and maintaining federal and provincial private business entities including corporations and partnerships.
· Preparing documentation for amalgamations, continuances, amendments, dissolutions, and revivals.
· Preparing applications for Certificates of Authorization for professional corporations.
· Preparing documentation for asset and share purchase and sale transactions.
· Preparing documentation for corporate and tax restructurings.
· Preparing resolutions relating to the organization and annual maintenance of corporations, including but not limited to initial and annual resolutions, declarations of dividends and bonuses.
· Preparing annual returns and other Federal and Provincial forms and notices.
· Preparing and filing various forms with the Ontario Ministry and Corporations Canada including but not limited to business name registrations and renewals, initial returns, notices of change, limited partnerships, and extra-provincial registrations.
· Meeting with clients for the review, explanation, and signature of documents.
· Other duties as required.
Required Experience/Skills/Qualifications
· Experience in an office.
· Proficiency in Microsoft Office, including Outlook with excellent keyboarding and grammar skills.
· The ability and desire to work independently and seamlessly transition through a variety of different initiatives and timelines.
· Ability to manage multiple priorities while being well organized and thorough with great attention to detail.
· Excellent interpersonal and client service skills.
· Excellent command of the English language is essential.
· French verbal skills would be considered an asset.
· Legal Assistant/Law Clerk diploma/certificate an asset.
· Working knowledge of (i) applicable statutes (OBCA, CBCA, etc.) and business name and registration processes and statutes; (ii) maintenance of corporate records including minute books and regulatory filings an asset.
· Knowledge of eCore, Dye & Durham and Corporations Canada online filing system an asset.

Pay: $45,000.00-$60,000.00 per year
