We are looking for a Corporate Law Clerk to join our Corporate Services Department in Ottawa and contribute to a professional, stimulating, and collaborative work environment.

Key responsibilities
- Draft and file articles of incorporation, amalgamation documents, and other general corporate and commercial documentation.
- Organize corporations and maintain corporate records, including corporate registers and minute books.
- Prepare and coordinate corporate documentation for reorganizations, mergers, and acquisition transactions.
- Conduct and file corporate and PPSA searches and registrations.
- Provide comprehensive legal administrative support to enhance practice productivity, including docketing, invoicing, scheduling appointments, and managing critical deadlines.
- Generate monthly work-in-progress reports and manage client accounts, including preparation, transmission, and follow-up.
- Prepare supporting transactional documents, including corporate resolutions and ancillary materials.
- Draft and organize documentation related to the purchase and sale of businesses (asset and share transactions), ensuring completion of all required corporate formalities.
- Prepare and update corporate records, including share issuances, registered office changes, and changes to directors, officers, and shareholders, along with all supporting documentation.
- Manage, maintain, and ensure the accuracy and compliance of minute book records.
Qualifications
- Minimum of four (4) years of experience as a Corporate Law Clerk or Paralegal within a law firm environment.
- Excellent verbal and written communication skills, with strong attention to detail and accuracy.
- Demonstrated ability to communicate effectively with Firm members and to address client needs in a professional, courteous, and responsive manner.
- In-depth knowledge of legal terminology, corporate law principles, and standard legal practices.
- Proven ability to analyze and review legal documents to ensure accuracy and compliance.
- Ability to consistently produce high-quality work product, including under tight or competing deadlines.
- Strong organizational skills with the ability to prioritize tasks and adjust priorities as required.
- Ability to work independently while also contributing effectively as part of a collaborative team, demonstrating initiative in a fast-paced environment.
Skills
- Strong working knowledge of applicable corporate statutes, with the ability to interpret and apply them in practice.
- Extensive experience supporting corporate and commercial transactions.
- Advanced computer proficiency, including Microsoft Office 365 (Word, Excel, Outlook), and legal technology platforms such as Closing Folders and MinuteBox.
- Ability to work independently and follow instructions with minimal supervision.
- Highly organized, detail-oriented, and capable of managing multiple priorities simultaneously.
- Strong team player with a demonstrated positive work ethic and commitment to collaboration.
- Ability to multitask effectively and perform well in a dynamic, high-volume work environment.
