Position Summary
The Legal Counsel will work directly with senior management and external counsel to support the firm's investment, fundraising, and corporate activities. The successful candidate will review, draft, negotiate, and manage a wide variety of legal documents while helping ensure the firm remains compliant with applicable securities and corporate laws.
This role provides broad exposure to private credit, private equity, venture capital, corporate finance, securities regulation, and commercial transactions.
Responsibilities
Working with senior in-house counsel and external legal counsel, the Legal Counsel will quarterback the review, drafting, and preparation of:
- Term sheets
- Letters of intent
- Loan and financing documents
- Purchase and sale agreements
- Subscription agreements
- Offering memoranda and private placement materials
- Information circulars
- Engagement letters
- Service agreements
- Consulting agreements
Additionally, the Legal Counsel will:
- Assist with securities law compliance.
- Support due diligence for prospective investments and financings.
- Assist with corporate governance matters, including board resolutions, corporate records, and minute books.
- Identify legal risks and provide practical business-oriented advice to management.
- Assist with regulatory filings and ongoing compliance obligations.
- Maintain and organize legal templates and precedent documents.
- Conduct legal research on corporate, commercial, securities, and regulatory issues.
- Support special projects and strategic initiatives as required.
Qualifications
Required
- We're looking for someone who is smart, hard working, and resourceful
- J.D. or LL.B. from an accredited law school (Recent grads welcome to apply).
- Called to the Bar in Ontario (or eligible for immediate transfer).
- Strong legal drafting and analytical skills.
- Excellent written and verbal communication.
- Exceptional attention to detail.
- Ability to manage multiple projects simultaneously.
- Strong organizational and time-management skills.
- Proficiency with Microsoft Office.
Preferred
- Experience in securities law, corporate law, banking, finance, private equity, venture capital, or commercial transactions.
- Experience at a law firm or in-house legal department.
Pay: $60,000.00-$90,000.00 per year
