About the Role
Nanda & Associate Lawyers Professional Corporation is seeking a motivated and detail-oriented Corporate Lawyer to join our growing Corporate and Commercial Law team. This role is ideal for a lawyer with experience in corporate transactions who is looking to work on a broad range of matters while supporting senior lawyers on sophisticated commercial files.
The successful candidate will assist with mergers and acquisitions, share and asset purchase transactions, corporate reorganizations, financing transactions, and general corporate advisory work.
Key Responsibilities
- Assist in the purchase and sale of businesses through share purchase and asset purchase transactions.
- Draft, review, and negotiate transaction documents, including:
- Letters of Intent
- Asset Purchase Agreements
- Share Purchase Agreements
- Shareholder Agreements
- Unanimous Shareholder Agreements
- Partnership Agreements
- Non-Disclosure Agreements
- Employment and Independent Contractor Agreements
- Conduct legal due diligence and prepare due diligence reports.
- Prepare and review corporate records, minute books, resolutions, and organizational documents.
- Incorporate federal and provincial corporations and maintain ongoing corporate records.
- Complete corporate reorganizations, amalgamations, continuances, dissolutions, and other corporate restructuring transactions.
- Assist with commercial lending and secured financing transactions.
- Prepare and register PPSA security documentation where required.
- Conduct legal research and provide practical advice on corporate and commercial matters.
- Liaise with clients, accountants, lenders, and opposing counsel throughout transactions.
- Manage files from inception through closing while ensuring deadlines are met.
- Support senior lawyers with complex commercial transactions and strategic corporate matters.
Qualifications
- Member in good standing with the Law Society of Ontario.
- 2–6 years of experience in Corporate/Commercial Law (more experienced candidates are welcome to apply).
- Strong experience with share purchases, asset purchases, and general corporate transactions.
- Experience preparing and reviewing commercial agreements.
- Excellent drafting, analytical, and negotiation skills.
- Strong organizational and file management abilities.
- Ability to work independently while collaborating with a team.
- Exceptional communication and client service skills.
- Experience with corporate record management software is considered an asset.

Pay: $60,000.00-$75,000.00 per year
