Title: Governance Associate (Full-Time, 12-Month Contract)

Compensation: $55,000-$65,000/Year + Benefits
Work Hours: 35 hours/week, Monday to Friday (may include evening and weekend work)
Work Arrangement: Hybrid (On-site/Remote)

Position Summary
The Governance Associate is a key member of the CCSAI Governance Team, providing professional support to strengthen the Association's governance framework and Board operations. Reporting to the Chief Governance Relations Officer (CGRO), the Governance Associate supports governance policy development, Board administration, committee operations, governance research, compliance monitoring, and governance education. Working collaboratively with the Board of Directors, committees, senior leadership, and stakeholders, the Governance Associate contributes to the continuous improvement of governance systems while ensuring alignment with CCSAI's Bylaws, Board Policies, the Ontario Not-for-Profit Corporations Act (ONCA), and governance best practices.
Governance & Policy Development
- Research, draft, review, and maintain Board policies, governance procedures, bylaws, and governance frameworks.
- Conduct jurisdictional scans and benchmarking to identify governance best practices and legislative developments affecting nonprofit organizations.
- Assist in developing governance reports, policy recommendations, briefing notes, and governance resources for the Board and senior leadership.
- Support governance modernization initiatives and continuous improvement projects.
Board & Committee Administration
- Coordinate administrative support for the Board of Directors and Board Committees, including preparing agendas, meeting packages, minutes, action logs, and governance documentation.
- Monitor Board decisions and committee action items, ensuring timely follow-up and reporting.
- Maintain governance records, corporate documents, policy repositories, and Board documentation.
- Assist with Annual General Meetings (AGMs), Special General Meetings (SGMs), Board retreats, governance consultations, and elections-related governance activities.
Governance Training & Board Development
- Support the design, coordination, and delivery of Board orientation, governance education, and professional development programs.
- Develop governance manuals, training materials, templates, presentations, and educational resources.
- Assist with Board performance evaluations, governance assessments, and continuous governance improvement initiatives.
Compliance & Governance Operations
- Support compliance with ONCA, CCSAI Bylaws, Board Policies, and governance procedures.
- Support governance audits, reporting, policy implementation, and maintain confidentiality when handling governance matters.
Strategic Governance Support
- Collaborate with the CGRO on strategic governance initiatives, Board projects, and organizational priorities.
- Build positive relationships with Board Directors, committee members, staff, and external stakeholders.
- Perform additional governance and administrative duties as assigned.
Education
- College Diploma or Bachelor's degree in Governance, Law, Political Science, Public Administration, Business Administration, Public Policy, or a related discipline.
- Equivalent combination of education and relevant experience may be considered.
Experience
- 1–3 years of experience in governance, board administration, policy development, nonprofit administration, corporate governance, or a related field.
- Experience supporting student union Boards of Directors or committees is an asset.
- Experience in policy research and drafting is highly desirable.
- Governance Professional Designation would be an asset
Knowledge & Skills
- Knowledge of nonprofit governance principles and governance best practices.
- Familiarity with ONCA is an asset.
- Excellent research, policy writing, analytical, organizational, and communication skills.
