PROFILE
Gowling WLG is seeking a full-time Corporate Paralegal/Law Clerk to join our Corporate Services group in our Corporate Commercial, Funds and Private M&A department. The successful candidate is a motivated and dependable team player who values a collaborative, supportive environment, with flexibility to meet both individual and organizational needs.
RESPONSIBILITIES

Prepare annual resolutions for BC companies, federal corporations, and societies.

Review and coordinate filings of Annual Reports and corporate records for Extra-Provincial corporations.

Assist with day-to-day corporate transactions, including director and officer changes, change of the registered and records office and name changes.

Conducting due diligence reviews of corporate minute books and fixing deficiencies as required.

Updating and maintaining corporate records to ensure that all documents comply with applicable legislation.

Assisting with the creation and uploading of Transparency Registers.

Responding to inquiries from lawyers, clients and corporate registries.

Assisting with other administrative duties as required.
QUALIFICATIONS
-
3+ years of Corporate Paralegal experience in a law firm, preferably part of a Corporate Services Team.

Strong understanding of corporate procedures, annual maintenance, and records management.

Ability to communicate effectively with other Firm members, with the aptitude to take care of clients’ needs in a professional and courteous manner.

Excellent organization, communication, and attention to detail.

Capacity to work independently, as well as in a team environment.

Knowledgeable about current legislation and government regulations.

Produce a high quality and quantity of work product, occasionally under tight timelines.

Able to prioritize and to redefine priorities when necessary.

Knowledge of Microsoft Office Suite.

The starting range for this role is $64,800 to $79,380. Starting salary will be determined based on an applicant’s individual skills, competencies and unique qualifications. Gowling WLG employees have the potential to exceed this range based on tenure and performance.
