About the roleThe Law Clerk is an integral member of Qu Data Centres Limited Partnership’s (the “Company”) legal department and is responsible for assisting the General Counsel in all aspects of legal and corporate governance matters; documents administration; departmental clerical matters; and legal support across all aspects of the Company’s business. This role serves a rapidly growing, Canadian‑owned digital infrastructure platform operating in a regulated, technically complex and fast-paced environment.
Law Clerk acts as a trusted support member to the General Counsel who can deliver real world solutions in a timely and collegial manner to support the operations of the Company’s legal department and the business operations of the Company, while always ensuring that the Company’s best interests are pursued. The role primarily serves support functions in strict adherence to timeliness, prioritization, collaboration, attention to detail and a high degree of professionalism.
There is a strong need for broad experience with digital productivity applications that are common to law firms and sophisticated corporate environments, such as Microsoft Teams, PowerPoint, Excel, WORD, Adobe Pro, Salesforce and AI platforms, including Harvey AI and Wilson AI.
Key Responsibilities
Documents Administration-
Review/update customer and vendor related documents, such as service agreements, order forms and statements of work within the Company’s standard framework.

Maintain and manage a repository of (physical and electronic) fully executed contracts, real property leases and contract templates consistent with document retention best practices.

Track and report standard and non-standard contractual terms such as deadlines, expiry dates, notice periods, payment terms, termination terms and renewal terms.
Regulatory & Compliance
- Provide the General Counsel and other Company departments with matters relating to:

The timely filing and reporting to federal, provincial and municipal regulatory agencies so as to maintain compliance with applicable licenses and registrations.

Filing and maintaining up-to-date annual information security audits certifications and attestations (e.g., SOC, ISO, PCI) and making same available Company stakeholders and authorized third parties
Corporate Governance & Board Support-
Support the General Counsel in the performance of corporate secretarial matters, such as organizing/coordinating board and committee meetings, including other associated functions, board resolution approvals, and other corporate governance matters.

Liaise with Company’s law firm to file up-to-date corporate records and other governance documentation
HR Support
- Support the human resource department (“HR”) in updating policies and employee handbooks.

Support other HR initiatives as directed by the General Counsel.
M&A and Strategic Transactions-
Document administration ensuring a repository of the latest versions of due diligence materials.

Supporting the coordination of due diligence activities with internal stakeholders.
Litigation Support-
Coordination of documentary legal-hold activities.

Coordination of meetings and interviews in contemplation of litigation.

Litigation documentary (electronic and physical) gathering administration.

Diarize litigation process timelines.
Education & Qualifications-
Law Clerk diploma or paralegal certification from an accredited institution, and if applicable, licensed by a provincial law society.

Ability to fluently speak and write in French language would be considered an asset
Experience-
3 to 6 years of experience in a law firm or corporate legal department.

Experience in litigation, corporate law, employment standards, contract drafting, legal department operations and other relevant practice areas.

Data centre work experience would be considered an asset.
