THE ROLE
This is a fantastic opportunity for an experienced corporate paralegal or law clerk to join a high performing collegial team and make an impact! The Corporate Paralegal will provide legal and administrative support to UPP’s Legal and Governance team in various areas of law and legal functions, including but not limited to investments, corporate, and legal operations. The successful candidate will benefit from a cross-functional, operationally-focused experience and collaborate closely with diverse stakeholder groups across UPP.
This role is based in downtown Toronto under a hybrid work policy, allowing employees the flexibility to work remotely and in-office (min two days per week in-office).

SPECIFIC ACCOUNTABILITIES
- Assist with a wide variety of legal and administrative work, with a focus on investments, corporate and legal operations, and provide support to other practice areas or functions within the legal team as required.
- Participate in implementing investment transactions, including subscription packages, global market opening documentation, bank account opening documents, officer and notarial certificates
- Assist in all aspects of entity formation and maintenance of corporate records, including name searches, incorporation, minute books, resolutions, etc.
- Draft, review, maintain, and file corporate documents, agreements, and/or records
- Draft correspondence and coordinate and receive approvals and signatures for agreements and documents
- Assist in drafting and reviewing amendments to contracts, statements of work, and other documents in the contract lifecycle
- Assist with the implementation, execution and maintenance of UPP’s document/knowledge management system
- Participate in the monitoring of legislative and regulatory changes relevant to UPP
- Build and maintain UPP’s know-your-client database
- Provide support on legal transactional matters, including non-disclosure agreements
- Advise colleagues and other cross-functional stakeholders on legal issues and risks, approval processes, and organizational policies and procedures.
- Develop and support the continuous improvement of standard form agreements, legal processes, and repositories of legal knowledgePromote integration, partnership, and collaboration across legal, governance, and other business functions
- Contribute to UPP’s reputation as a respectful employer, partner, and participant in the financial sector

QUALIFICATIONS & EXPERIENCE
- Post-secondary degree
- A minimum of 5 years work experience as a paralegal, law clerk or related roles
- Experience in supporting institutional investments and/or other financial services
- Licensed Paralegal designation a strong asset
- Pension industry experience a strong asset
- Experience with artificial intelligence platforms (ChatGPT, Copilot, etc.), business intelligence platforms (e.g. PowerBI, Domo), knowledge management and/or document management software a strong asset

EXPECTED COMPENSATION
The expected compensation for this role is an annualized base salary in the range of $61,600 to $86,600. This range reflects the expected range for new hire base salaries and is subject to change and may be modified in the future.
You may also be eligible for a variable incentive depending on organizational, divisional and personal performance. The final total compensation offered will vary depending on your skills, experience and other factors.
