BLP avocats est à la recherche d’un(e) parajuriste motivé(e) avec minimum d’un (1) d'expérience pertinente pour rejoindre son équipe. Le ou la candidat(e) retenu(e) travaillera en étroite collaboration avec les professionnels du cabinet pour les soutenir dans un large éventail de dossiers et projets commerciaux et corporatifs.

Principales responsabilités

Effectuer une diligence raisonnable sur les livres de procès-verbaux et procéder aux régularisations requises;
Rédiger les résolutions annuelles de l'entreprise et tenir les registres de l'entreprise, y compris les déclarations fédérales, provinciales et non provinciales;
Appuyer l’équipe d’avocats dans le cadre de vérifications diligentes et transactions (achat, vente et financement d’immeubles);
Effectuer des tâches procédurales générales liées aux activités de la firme, telles que l'obtention de numéros d'identification fiscale, la communication avec le Registre des entreprises, RDPRM
Effectuer la négociation, rédaction, modification d'une variété d'ententes commerciales, y compris les accords de confidentialité, les lettres d'intention, conventions entre actionnaires, les accords de distribution, les accords de sous-traitance, les licences, etc.
Soutenir l'équipe de direction dans le cadre des acquisitions, du financement, des réorganisations d'entreprises;
Organiser et maintenir la documentation et les dossiers à jour.

Qualifications

Minimum de 1 à 5 ans d'expérience en droit des affaires, préférablement en droit corporatif;
Connaissances en droit commercial, en négociation et en rédaction de contrats;
Capable de travailler sous pression et de respecter des délais serrés;
Excellentes aptitudes à la résolution de problèmes, sens des affaires, capacités d'analyse et d'organisation;
Autonome et débrouillard(e);
Excellentes aptitudes interpersonnelles et de communication;
Excellentes compétences rédactionnelles en anglais et en français;
Excellente connaissance pratique de MS Office (Word, Power point, SharePoint et Teams).

Licence / Certification

· Diplôme d'études collégiales en techniques juridiques ou Attestation d’études collégiales en techniques juridiques

BLP Avocats is seeking a highly motivated paralegal with at least one (1) year of relevant experience to join its team. The successful candidate will work closely with the firm's professionals to support them in a wide range of commercial and corporate matters and projects.

Key Responsibilities

· Conduct due diligence on the minutes books and make any necessary corrections;

· Draft the company's annual resolutions and maintain corporate records, including federal, provincial, and non-provincial filings;

· Support the legal team with due diligence and transactions (purchase, sale, and financing of real estate);

· Perform general procedural tasks related to the firm's activities, such as obtaining tax identification numbers and communicating with the Enterprise Register and the RDPRM;

· Negotiate, draft, and amend a variety of commercial agreements, including confidentiality agreements, letters of intent, shareholder agreements, distribution agreements, subcontracting agreements, licenses, etc.;

· Support the management team with acquisitions, financing, and corporate reorganizations;

· Organize and maintain up-to-date documentation and files.

Qualifications

· Minimum of 1 to 5 years of experience in business law, preferably corporate law;

· Knowledge of commercial law, negotiation, and contract drafting;

· Ability to work under pressure and meet tight deadlines;

· Excellent problem-solving, business acumen, analytical, and organizational skills;

· Self-motivated and resourceful;

· Excellent interpersonal and communication skills;

· Excellent written communication skills in English and French;

· Excellent working knowledge of MS Office (Word, PowerPoint, SharePoint, and Teams).

Licence / Certification

· Diploma of College Studies in Paralegal Technology or Attestation of College Studies in Paralegal
