Beard Winter LLP is seeking a Junior Corporate Clerk to join our Corporate Law Department. The Junior Corporate Clerk supports our team of corporate lawyers and senior corporate clerks with the preparation, organization, and maintenance of corporate records and legal documents.

Qualifications:

· at least 1+ years of direct, relevant and practical experience in the area of Corporate Law;

· law clerk certification is an asset;

· general knowledge of applicable corporate statutes

· superior analytical and organizational abilities;

· Detail oriented, strong written communication skills

· the ability to effectively manage multiple priorities and work within a team of corporate lawyers;

· Excellent problem solving, good judgment and decision-making skills

· is time conscious and deadline oriented;

· considers themselves a consummate professional who works well under pressure;

· has the ability to work independently with little supervision but appreciates the benefits of being part of a team.

· can function easily in MS 365;

document management software and digital entity management platforms is an asset (MinuteBox, ESC Corporate, eCore, etc.)

Responsibilities would include, but not limited to:

· Create, maintain and update corporate minute books, registers, and corporate records.

· Prepare client correspondence (notices or statements received on behalf of corporation)

· Prepare annual and organizational resolutions and reporting letters

· Add new and existing entities in corporate entity management platform

· File annual returns, Initial Returns and Notice of Change (OBCA/CBCA)

· Conduct due diligence searches (Corporate Profiles, PPSA, Litigation, Bankruptcy, Status Certificates, Company Keys)

· Time entry docketing in ProLaw

· Coordinate electronic signatures using DocuSign

· Basic administration (courier, cost disbursement processing, firm ticklers)

· Assist with ongoing projects/tasks as required

The anticipated base annual salary range for this position is $55,000.00 to $65,000.00. This range represents the anticipated compensation for the position in compliance with Ontario’s pay transparency requirements. The actual compensation offered to the successful candidate may fall above or below this range, depending on factors such as relevant experience, demonstrated skills, market conditions, and internal equity. Final compensation will be confirmed upon completion of the recruitment process.
