The Role:
As Director, Investment Structure Management, you will provide strategic leadership and commercial structuring expertise for CPP Investments' private market transactions across Credit, Private Equity, and Real Assets. Reporting to the Managing Director, Investment Structure Management, you will partner with investment, legal, tax, finance, and operations teams to lead the end-to-end structuring of complex, multi-jurisdictional investments while helping evolve Investment Structure Management into a proactive, advisory-led function. You will also champion innovation by advancing technology-enabled capabilities that strengthen the scalability, governance, and operational effectiveness of investment structures.
The Team:
Investment Structure Management (ISM) partners with investment teams and corporate functions to develop, implement, and oversee legal entity structures that support CPP Investments' global private market investments. The team provides strategic structuring advice across the investment lifecycle while ensuring governance, operational excellence, and effective risk management for a diverse portfolio of investment structures.
As part of the broader investment ecosystem, the ISM team works closely with Investment Departments, Finance, Legal, Tax, and Operations to deliver scalable structuring solutions that support CPP Investments' long-term investment strategy. The team is also advancing technology-enabled capabilities that strengthen institutional knowledge, improve operational efficiency, and enhance decision-making.
Accountabilities
Lead the end-to-end structuring, execution, and ongoing management of complex private market investments, restructurings, and exits across Credit, Private Equity, and Real Assets.
Provide strategic structuring advice by partnering with investment teams and corporate functions to identify and address legal entity, governance, operational, and execution considerations throughout the transaction lifecycle.
Lead transaction execution by coordinating structuring workstreams, managing critical dependencies, resolving issues, and driving successful transaction closings.
Oversee the post-closing governance and operational transition of legal entities, ensuring ongoing compliance, effective risk management, and seamless handoffs to operational stakeholders.
Lead the preparation of reporting and insights for senior management on legal entity governance, compliance, and operational risk metrics.
Champion innovation by supporting ISM's technology roadmap, including the implementation of AI-enabled tools and continuous improvement initiatives that enhance structuring capabilities.
Mentor team members and lead cross-functional initiatives that strengthen collaboration, operational excellence, and the evolution of ISM as a trusted strategic advisory function.
What You Bring
Undergraduate degree or college diploma in Business, Finance, Accounting, Law, or a related discipline.
Minimum of 8 years of experience in finance, consulting, private equity, accounting, project management, or a related field, with demonstrated experience supporting complex transactions.
Strong commercial judgment and experience managing investment structures, transaction execution, legal entities, governance, or operational processes within complex organizations.
Professional designation such as CFA, CA, CMA, CBV, or a related credential is considered an asset; M&A operational experience is also considered an asset.
Experience with low-code/no-code workflow platforms (e.g., Mendix), data visualization tools (e.g., Tableau), Python, or other technology solutions that support process automation and operational excellence is considered an asset.
Exceptional analytical, problem-solving, stakeholder management, and communication skills, with the ability to navigate ambiguity and influence senior business partners.
Demonstrated ability to lead, mentor, and develop diverse teams while fostering collaboration, continuous improvement, and innovation.
